General Counsel
OceanWings designs, manufactures and markets semi-rigid and rigid wingsails designed for installation on cargo ships, helping to reduce CO2 emissions by cutting fossil fuel consumption.
Missions :
Corporate legal
- Legal management of regular corporate operations (increase/decrease in capital, …)
- Preparation of Boards of Directors, Shareholders’ Meetings, Supervisory Boards, resolutions and minutes
- Updates of Trade Register, register of securities movements, cap table on Equify
- Responsible for the administration and implementation of the group's equity plans (BSPCE, grant, exercise and trading of shares, etc)
- More generally, all corporate, equity and company secretarial matters involving OCEANWINGS and its group of companies
Corporate development
- Assistance with internal restructuring
- Assistance with external growth operations (fund-raising, financing, legal structuring (joint-venture, subsidiary, etc.), management of shareholder relations, etc.)
Compliance
- Drawing up legal recommendations for the company, enabling it to comply with current legislation or anticipate regulatory changes (ESG, RGPD). Contribute to the implementation of the OCEANWINGS Corporate Social Responsibility Program, in particular with respect to Export Control policies and regulations
Contract
- Overseeing pre-contractual relations, responding to RFP
- Drafting commercial contracts (e.g. sales, vendor and suppliers agreements, services agreements, non-disclosure agreements, general terms and conditions, engagement letters, R&D agreements, license agreements and intragroup agreements)
- Supporting contractual negotiations
- Collaborate with sales, finance, and other departments to analyze business, regulatory and legal contract terms.
- Managing / monitoring the legal aspects of insurance, banking terms, partnership contracts, subcontracting contracts etc.
- Drafting and updating the general terms and special terms of the company
- Supporting on the implementation of major industrial projects and procurement operations
Pre-litigation and litigation management
- Defining pre-litigation and litigation management procedures in liaison with the relevant operational staff and, where necessary, with the help of external consultants
- Managing and investigating cases
IP
- Ensuring logo, bradnames protection
- Managing the patent registration
Other
- Selecting external consulting firms to provide advice on specialized topics (e.g. intellectual property, corporate law, tax law, etc.)
- Selecting legal databases corresponding to the company's specific activities
Qualification & skillset:
- 6+ years of combined legal experience at a global law firm and/or in-house legal department of an industrial company
- Demonstrated ability to interact with senior stakeholders (board members, investors, large clients) in high stakes situations
- Demonstrated ability to partner with peers in the executive team to solve business problems
- Corporate Law experience (Raising Equity and Debt, M&A transactions, ….), ideally in a private equity setting
- Prior Experience in Commercial Contracts in an international setting is a significant plus
- International experience, prior exposure to Asia is a significant plus. Candidate does not need to be a French national but needs to be fluent in French and willing to relocate to Paris
- Personal motivation to invest part of her/his career in solving the climate crisis
- Solid background in French law
- Fluent in English and French
- Excellent written and verbal communication skills
- Proven ability to independently lead and execute all facets of challenging engagements with highest integrity and ethics – from preliminary/conceptual advice, through structuring, negotiating, drafting, closing, and any subsequent conflict resolution. Creative and practical legal counselor who can communicate information accurately and completely, while being concise and digestible for non-lawyers
- Collaborative team player with an ability to work independently and exercise sound judgment
- Ability to offer both practical and theoretical advice demonstrating knowledge of the product and good business instincts
- Ability to prioritize and multitask; flexibility and adaptability in the workplace
